Contract review and drafting in Bodrum
Sungur Law Office advises individuals, companies and foreign clients on contracts in Bodrum, with communication in English and Turkish. The work includes reviewing a draft before signing, negotiating revisions and assessing questions arising during performance.
A contract review starts by establishing what each party undertakes to do, on what terms and by when. The same wording will not necessarily serve a sale, services, supply, distribution, confidentiality or cooperation arrangement. A draft is considered alongside the parties’ actual working practices and the commercial purpose of the transaction.
Legal framework and formal requirements
Article 26 of the Turkish Code of Obligations allows parties to determine the content of a contract within the limits prescribed by law. Agreement between the parties therefore needs to be considered alongside the legal restrictions and formal requirements applicable to the transaction. For example, Article 237 requires the prescribed official form for property sales and promises of sale. Previous use of a template does not establish its suitability for a different transaction.
What does the review cover?
The parties’ identities and authority to act, scope of work, price and payment terms, delivery or acceptance criteria, duration and renewal provisions are examined together. The consequences of incomplete or delayed performance, notice procedure, termination, contractual penalties, liability provisions and dispute resolution arrangements receive separate attention. Annexes, technical specifications and the method for making subsequent changes also need to fit the agreement as a whole.
Negotiation and revisions
Reviewing a draft received from another party involves more than removing objectionable wording. The obligations created by each provision, its practical operation and its relationship with other clauses are explained. Proposed revisions, available alternatives and unresolved points are identified. Keeping track of draft versions, annexes and the final agreed wording helps establish which terms the parties accepted if a question later arises.
During performance or a dispute
Payment, delivery, acceptance and notice records are compared with the agreement. If a formal notice, additional period for performance, amendment or termination is being considered, the legal basis and potential consequences of that step are reviewed. The conditions for mediation, court proceedings or another procedure depend on the nature of the claim; there is no single route applicable to every contractual dispute.
Documents for the initial review
The signed agreement or current draft should be considered with all annexes, previous amendments, proposals, orders, invoices, payment and delivery records, and material correspondence. Before work begins, the parties’ objectives need to be clear. For an ongoing relationship, it is useful to distinguish completed obligations from those still disputed. In bilingual agreements, the meaning of legal terms and potential differences between the language versions require separate attention.
